Terms of Service

1. Agreement
These terms govern your use of the hypersys.ai website and, together with your subscription order, the HYPERSYS applications ("Services") provided by HYPERSYS Solutions LLC. By using the Services you agree to these terms.
2. Subscriptions
Services are provided on a subscription basis per the plan you select. Fees are invoiced in advance, are exclusive of applicable taxes, and are payable per the payment terms in your order. Plans renew automatically unless canceled before the renewal date.
3. Your data
You retain all rights to the data you store in the Services. We process it only to provide the Services, per our Privacy Policy and applicable data protection law. You may export your data at any time, including on termination.
4. Acceptable use
- Keep your credentials secure; you are responsible for activity under your accounts.
- Do not use the Services for unlawful purposes or to infringe the rights of others.
- Do not attempt to breach, probe or disrupt the security or availability of the platform.
5. Availability & support
We target 99.9% platform availability. Planned maintenance is notified in advance. Support levels are defined by your plan; Enterprise customers receive a formal SLA.
6. Intellectual property
The Services, including software, design and branding, are owned by HYPERSYS Solutions LLC and its licensors. Your subscription grants a non-exclusive, non-transferable right to use them for your internal business during the subscription term.
7. Liability
To the maximum extent permitted by law, neither party is liable for indirect or consequential losses, and our aggregate liability under these terms is limited to the fees paid for the Services in the twelve months preceding the claim. Nothing limits liability that cannot lawfully be limited.
8. Termination
Either party may terminate for material breach not cured within 30 days of notice. On termination we provide a window for full data export before secure deletion in line with our retention policy.
9. Governing law
These terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles, and the state and federal courts located in Delaware have exclusive jurisdiction over disputes, subject to any agreed arbitration.
